Acceptance of Terms

By creating an account, downloading our applications, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

You must be at least 13 years of age to use our Services. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Our Services

Vxtory develops and operates the following products:

• Kitakits — A real-time location sharing and meetup coordination application for personal and business use.
• Nearby — A real-time location sharing application designed for live events, requiring no account to participate.
• Vicstry — A conversational AI platform for conducting interviews, assessments, and surveys using natural voice interactions.

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice.

User Accounts

Some of our Services require you to create an account. When you do, you agree to:

• Provide accurate and complete information during registration.
• Keep your login credentials secure and confidential.
• Notify us immediately if you suspect unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period.

Acceptable Use

You agree not to use our Services to:

• Violate any applicable law, regulation, or third-party rights.
• Transmit harmful, threatening, abusive, or otherwise objectionable content.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Interfere with or disrupt the integrity or performance of our Services.
• Use automated means (bots, scrapers, etc.) to access our Services without our written permission.
• Collect or harvest personal information of other users without their consent.

Intellectual Property

All content, features, and functionality of our Services — including but not limited to text, graphics, logos, icons, software, and design — are the exclusive property of Vxtory and are protected by intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Services or software without our prior written consent.

Any content you submit or create through our Services remains yours. However, by submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely for the purpose of operating and improving our Services.

Termination

You may stop using our Services and delete your account at any time.

We may suspend or terminate your access to our Services immediately, without prior notice, if we reasonably believe that you have violated these Terms or that your continued use poses a risk to us, our Services, or other users.

Upon termination, your right to use the Services will cease immediately. Provisions of these Terms that by their nature should survive termination will remain in effect.

Disclaimers

Our Services are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our Services will be uninterrupted, timely, secure, or error-free. Location data provided by our applications is approximate and should not be relied upon for safety-critical purposes.

Limitation of Liability

To the maximum extent permitted by applicable law, Vxtory and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of our Services.

In no event shall our total liability to you exceed the amount you have paid us, if any, in the twelve (12) months preceding the event giving rise to the claim.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Philippines, without regard to its conflict of law provisions.

Any disputes arising from or related to these Terms or our Services shall be resolved in the courts located in the Philippines.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, where appropriate, notify you through our Services or by email.

Your continued use of our Services after any changes to these Terms constitutes your acceptance of the revised Terms.
